Terms of Service
Last updated: 20 October 2026
These Terms of Service ("Terms") form a binding agreement between Gempluse infotech pvt. ltd., which operates Zooqq ("Zooqq", "we", "us"), and the business or person that creates an account or uses our website, web app, APIs, integrations and related services (together, the "Service"). If you accept these Terms on behalf of a business, you confirm you are authorised to bind it, and "you" means that business.
By creating an account, ticking the acceptance box at sign-up or using the Service, you agree to these Terms, our Privacy Policy and our Data Processing Agreement. If you do not agree, do not use the Service.
1. Definitions
- Account: your business workspace on Zooqq, including all team members you add.
- Contacts: the people you message or store in the Service, such as your customers and leads.
- Customer Data: everything you or your Contacts put into the Service, including messages, media, contact details, templates, flows and knowledge-base content.
- Plan: the subscription package you buy, with the features and limits shown at checkout.
- Wallet: the prepaid balance in your Account used to pay WhatsApp messaging charges, where wallet billing applies.
- Meta: Meta Platforms, Inc. and its affiliates, which provide the WhatsApp Business Platform.
2. The Service
Zooqq is a software platform that lets businesses use the official WhatsApp Business Platform (Cloud API) to run a shared team inbox, send template and broadcast campaigns, build chatbots and WhatsApp Flows, use AI-assisted replies and a knowledge base, manage contacts, and connect other business apps.
Zooqq is not WhatsApp or Meta and is not endorsed by them. WhatsApp features, pricing and rules are set by Meta and can change at any time; when they do, the related features of the Service may change too.
3. Eligibility and accounts
- You must be at least 18 years old and use the Service only for legitimate business purposes, not for personal or household use.
- You must give accurate sign-up, business and billing details (including your GSTIN, if you want it on invoices) and keep them up to date.
- You are responsible for keeping passwords, API keys and access tokens secure, and for everything done through your Account, including by team members you invite and the roles and permissions you give them.
- Tell us promptly at [email protected] if you suspect unauthorised access to your Account.
4. Connecting your WhatsApp Business Account
- You connect your own WhatsApp Business Account and phone number to Zooqq through Meta's Embedded Signup or with credentials you provide. You remain the owner of that account and number, and are responsible for your relationship with Meta.
- You must accept and comply with Meta's terms and the WhatsApp Business Policy and WhatsApp Commerce Policy.
- Meta decides whether to verify your business, approve your display name and approve or reject message templates. Meta also sets your messaging limits and quality rating, and may restrict, flag or ban your number. Zooqq does not control these decisions and is not liable for them.
- A number already registered with another WhatsApp provider may need to be migrated before it can be used on Zooqq.
5. Your responsibilities when messaging
- You must have a lawful basis and the opt-in Meta requires before messaging any Contact, and you must honour opt-out and stop requests promptly.
- You are solely responsible for the content of your messages, templates, campaigns, chatbot and AI replies, and for complying with all laws that apply to you, including consumer-protection, telemarketing, data-protection and sector-specific rules.
- You must not use the Service to:
- send spam, unsolicited bulk messages, or messages to purchased or scraped contact lists;
- send content that is unlawful, fraudulent, deceptive, defamatory, harassing, hateful, sexually explicit or harmful to minors;
- promote goods or services that Meta's policies or the law prohibit or restrict;
- infringe anyone's intellectual property, privacy or other rights;
- spread malware, phish, or impersonate any person or business;
- probe, overload, scrape, reverse-engineer or bypass the security or limits of the Service;
- resell, sublicense or provide the Service to third parties, or use it to build a competing product, without our written permission.
6. Plans, fees and invoices
- Plans are sold for a monthly or annual period and are paid in advance. Prices are in Indian Rupees (INR) unless stated otherwise and do not include taxes. GST and other applicable taxes are added at checkout and shown on your invoice.
- Payments are processed by our payment partner (currently Razorpay). Its own terms apply to the payment, and we do not store your full card details.
- A Plan runs from its start date to its end date. If you buy a new Plan, upgrade or downgrade while a Plan is active, the new Plan starts when your current Plan (and any Plan already queued after it) ends. It does not take effect immediately, and the unused part of the current Plan is not credited or refunded.
- Plans do not renew automatically. We remind you before your Plan expires. If it expires without a new Plan, you may be unable to create new records or use paid features until you buy one. Your existing data is kept for the period described in section 13.
- Where we offer a free trial or promotional offer code, its length, discount and conditions are shown at sign-up or checkout. Offers cannot be exchanged for cash.
- Plan fees are non-refundable, except where required by law or where we, at our discretion, agree to a refund because of a verified, persistent fault in the Service that we could not fix.
- We may change Plan prices. Changes apply only to Plans bought after the change, never to a Plan you have already paid for.
7. WhatsApp charges and the Wallet
- Meta charges for WhatsApp messages according to its own pricing, which varies by country and message category and which Meta can change. These charges are separate from your Plan fee.
- Depending on how your Account is set up, you pay these charges either directly to Meta through the payment method on your WhatsApp Business Account, or through your Zooqq Wallet. Your Account settings and invoices show which applies.
- Where Wallet billing applies, you top up the Wallet in advance (a minimum top-up amount may apply). Each chargeable message is deducted from your Wallet at the rate shown in the Service, which may include a platform fee over Meta's price. Campaigns may reserve the estimated cost before they start.
- If your Wallet balance is too low, messages and campaigns may not send. We will try to warn you when your balance is running low, but you are responsible for keeping it funded.
- If Meta rejects a message, its charge is returned to your Wallet. If the result of a send cannot be confirmed (for example, because of a timeout at Meta), the charge may be kept.
- Free, bonus and promotional Wallet credits have no cash value, are used before paid credit, and may expire on the date shown to you. Paid Wallet balance is non-refundable and cannot be withdrawn or transferred, except where required by law.
- We may freeze a Wallet while we investigate suspected fraud, payment disputes or a breach of these Terms.
8. Plan limits and fair use
- Each Plan may limit things such as the number of contacts, team members and connected apps. If you reach a limit, you may need to upgrade before adding more.
- AI features that use Zooqq's own AI provider accounts are subject to fair-use limits, such as a daily cap on AI requests per Account. These limits do not apply where you use your own AI provider key.
- We may apply rate limits to the API and other features to protect the Service for all customers.
9. AI features
- AI features (such as AI replies, AI bots and the knowledge base) send the relevant prompts, messages and knowledge-base content to third-party AI providers (for example Google Gemini, OpenAI, DeepSeek, or models available through OpenRouter) to generate a response. When you use your own provider key, your agreement with that provider applies.
- AI output can be inaccurate, incomplete or inappropriate. You are responsible for reviewing how your AI bots behave, for the replies they send to your Contacts, and for not relying on AI output for legal, medical, financial or other high-risk decisions.
- You must have the right to every document and website you add to the knowledge base. Our website importer reads a limited number of public pages and respects robots.txt, but you remain responsible for using only sites you are allowed to use.
- As between you and Zooqq, AI inputs and outputs in your Account are your Customer Data.
10. Integrations and developer tools
- You can connect third-party services, such as Shopify, WooCommerce, HubSpot, Salesforce, Zoho, Slack, Google or Microsoft calendars, Microsoft Teams and shipping carriers. When you connect one, you authorise Zooqq to exchange data with it on your behalf, and your use of it is governed by that provider's terms.
- Third-party services are not under our control. We are not responsible for their availability, changes, data handling or any loss they cause, and an integration may stop working if the provider changes or withdraws its service.
- If you use our API or webhooks, you must keep your API keys secret, rotate them if exposed, follow our documentation and rate limits, and secure the endpoints that receive your webhooks.
11. Your data
- You own your Customer Data. You give Zooqq a limited licence to host, copy, process, transmit and display it only as needed to provide, secure and support the Service, and as you instruct.
- For personal data of your Contacts, you are the controller and Zooqq is your processor, as set out in our Data Processing Agreement. How we handle personal data is explained in our Privacy Policy.
- Messages sent through WhatsApp are also processed by Meta under its own terms, which may involve storage outside India.
- We may use aggregated, de-identified data that does not identify you or any Contact to operate, secure and improve the Service.
- You are responsible for keeping your own copies of important Customer Data. Some logs, such as raw webhook logs, are deleted automatically after a short period.
12. Our intellectual property
Zooqq and its licensors own the Service, including its software, design, documentation and brand. Subject to these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable, revocable right to use the Service for your internal business purposes during your Plan. If you send us feedback or ideas, we may use them without any obligation to you.
13. Suspension, termination and data after closure
- You can stop using the Service at any time, and you can ask us to close your Account and delete your data, as described on our Data Deletion page.
- We may suspend or limit your Account immediately, with notice where reasonable, if you breach these Terms or Meta's policies, fail to pay, create a security or legal risk, or if Meta or a regulator requires it. Fees for the period remain payable during a suspension.
- We may terminate your Account for serious or repeated breaches, or on reasonable notice if we stop offering the Service.
- After your Account is closed, we delete your Customer Data within 30 days of the closure or deletion request, except data we must keep by law (such as invoices and payment records) or that remains for a limited time in backups. Ask us before closure if you need help exporting data.
- Sections that by their nature should continue (including fees owed, your data obligations, intellectual property, disclaimers, liability, indemnity and governing law) survive termination.
14. Availability and changes to the Service
We work to keep the Service available and secure, but we do not guarantee it will be uninterrupted, error-free or free of data loss. We may carry out planned maintenance and will try to schedule it at low-traffic times. We may add, change or remove features, and will give reasonable notice before a change that materially reduces a paid feature during your current Plan.
15. Confidentiality
Each party will keep the other's non-public business, technical and pricing information confidential, use it only for the purposes of these Terms, and protect it with reasonable care. This does not apply to information that is public, already known, independently developed or that must be disclosed by law.
16. Disclaimers
Except as expressly stated in these Terms, the Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. We do not guarantee any business result, message delivery rate, template approval or Meta decision.
17. Limitation of liability
- To the maximum extent permitted by law, neither party is liable for indirect, incidental, special or consequential losses, or for loss of profits, revenue, goodwill or data.
- Zooqq's total liability for all claims relating to the Service is limited to the Plan fees you paid us in the 12 months before the event giving rise to the claim. WhatsApp charges passed through to Meta and Wallet top-ups are not counted as fees for this purpose.
- These limits do not apply to liability that cannot be limited by law, or to your payment obligations and indemnity.
18. Indemnity
You will defend and indemnify Zooqq, its affiliates and staff against claims, penalties and losses (including reasonable legal fees) arising from your Customer Data, your messages to Contacts, your use of AI features and integrations, or your breach of these Terms, Meta's policies or the law.
19. Force majeure
Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as outages or changes at Meta, cloud or telecom providers, natural disasters, war, government action or large-scale cyber-attacks. This does not excuse payment of amounts already due.
20. Governing law and disputes
These Terms are governed by the laws of India. The parties will first try to resolve any dispute in good faith for 30 days after written notice. If it is not resolved, it will be settled by arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, in English, seated in Jaipur, and the courts at Jaipur, India will have exclusive jurisdiction over related matters.
21. Changes to these Terms
We may update these Terms from time to time. The "Last updated" date above shows the latest version. For material changes, we will notify Account owners by email or in the app before they take effect. Continuing to use the Service after that means you accept the updated Terms.
22. General
- You may not assign these Terms without our written consent. We may assign them to an affiliate or a successor in a merger or acquisition.
- If any part of these Terms is found unenforceable, the rest stays in effect. Not enforcing a right is not a waiver of it.
- These Terms, together with the Privacy Policy, Data Processing Agreement and any order details shown at checkout, are the entire agreement between us about the Service.
- We may send notices to the email address on your Account. You may send notices to [email protected].
